Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Mslice Holdings LLC governing your use of CalNudge (calnudge.app). By using the Service, you agree to these Terms.

Description of Service

CalNudge is an automated RSVP reminder service that connects to your Google Calendar or Microsoft Outlook account and sends email reminders to meeting attendees who have not responded to your calendar invitations.

Eligibility

You must be at least 13 years of age to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that entity.

Account Registration

To use CalNudge, you must authenticate using a valid Google or Microsoft account. You are responsible for all activity under your account. Notify us immediately at info@calnudge.app of any unauthorized use.

Acceptable Use

You agree not to:

• Use the Service to send unsolicited, harassing, or abusive emails.
• Violate applicable local, national, or international laws.
• Attempt unauthorized access to the Service or its infrastructure.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer or attempt to extract the source code of the Service.
• Resell or commercially exploit the Service without written permission.

Calendar Access and Email Sending

By connecting your calendar, you authorize CalNudge to:

• Read your calendar events, including event titles, times, locations, and attendee information.
• Send email reminders on your behalf to attendees who have not responded to your calendar invitations. These emails will display your name as the sender (e.g., "Your Name via CalNudge").
• Send occasional product-related communications to attendees who have received CalNudge reminders, such as feedback surveys or service information. Attendees may opt out at any time.

You are responsible for ensuring your use of CalNudge complies with applicable anti-spam laws including CAN-SPAM and GDPR. You represent that you have a legitimate business relationship with the attendees in your calendar events.

Subscription Plans and Billing

CalNudge offers a 14-day free trial and paid subscription plans. After the trial period, you must select a paid plan to continue using the Service. If no plan is selected, reminder emails will stop.

Paid plans are available on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through the subscription management portal — your access will continue until the end of the current billing period.

All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.

Billing is processed securely through Stripe. CalNudge does not store your payment card information.

Intellectual Property

The Service and its content are the exclusive property of Mslice Holdings LLC. You retain all rights to your calendar data and grant us a limited license to process it solely to provide the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EMAIL REMINDERS WILL BE DELIVERED OR ACTED UPON.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSLICE HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Mslice Holdings LLC from claims arising out of your use of the Service or violation of these Terms.

Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may terminate your account by cancelling your subscription and requesting account deletion through the contact form or by emailing us. Upon termination, your calendar connections will be removed, active reminders will stop, and your data will be deleted in accordance with our Privacy Policy.

Governing Law

These Terms shall be governed by the laws of the United States without regard to conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use after changes constitutes acceptance of the new Terms.
